Service-Specific Rules for Print & Mail Customers

These Print & Mail Product Terms (“P&M Terms”) apply to all use of PostGrid’s Print & Mail Services. If there is any conflict between these P&M Terms and any Underlying Agreement, these P&M Terms prevail. 

Capitalized terms not defined herein have the meanings given to them in the Definitions section (or Definitions page), as applicable.

1. Mailing Overages

1.1 Per-Piece Charging (Baseline). All mailings are billed on a per-piece basis at the rates determined as follows: (a) where the Customer has an executed Order Form that specifies per-piece pricing, the rates set out in the applicable Order Form shall apply; and (b) in all other cases, the applicable per-piece rates are those published by PostGrid or otherwise provided by PostGrid in writing for the relevant mailing.

1.2 Mailing Overages. If Customer’s usage exceeds the applicable monthly or annual volume limit, overage fees will apply. 

For Customers operating under an executed Order Form, overage fees will be calculated and invoiced in accordance with the overage rates and methodology set out in the applicable Order Form. 

For Customers not operating under an executed Order Form, overage fees will be invoiced in accordance with PostGrid’s then-current standard overage rates and billing practices.

1.3 No Carry-Forwards. Unused monthly or annual mailing volume does not carry over to future billing periods.

2. Production Specifications & Mailing Requirements

2.1 Sheet Limits and Oversize Mailings. Per-piece pricing applies only to mailings containing up to six (6) sheets per mailpiece. Mailings that exceed six sheets may incur additional oversize fees. Oversize pricing is not included in standard per-piece rates and is quoted separately based on the specifications of the applicable mailpiece.

If Customer submits a mailing that exceeds the six-sheet limit, PostGrid may, in its discretion, either (a) apply the applicable oversize pricing and proceed with production, or (b) pause the job and request Customer approval before proceeding. Customer remains responsible for any additional fees resulting from mailpieces that exceed the standard sheet limit.

2.2 Custom Envelope Minimums. Mailings that require a custom or non-standard envelope are subject to a minimum production run of 200 pieces. This minimum applies to each envelope type and production batch.

If Customer submits an order requiring a custom envelope that does not meet the 200-piece minimum, the order may be paused, along with any related inserts or materials, until cumulative qualifying orders reach the required threshold or until otherwise agreed in writing. PostGrid is not responsible for any delays resulting from orders submitted below the minimum production run requirement.

2.3 Bulk or Economy Mail Minimum Volume Requirements. Certain bulk or economy mail classes offered by postal operators or carriers are subject to minimum volume thresholds established by the applicable carrier. These thresholds are determined by the carrier and not by PostGrid.

To qualify for discounted rates, a mailing must meet the applicable minimum volume within a single qualifying submission batch processed together for postal entry. If a mailing does not meet the required minimum, it may be reclassified, repriced, or delayed as necessary to ensure carrier compliance, and Customer remains responsible for any resulting rate differences, postage adjustments, surcharges, or additional fees. Separate submissions may not be combined to satisfy minimum thresholds unless processed together as a single qualifying batch.

4. Postal and Carrier Compliance

4.1 Correct Mail Classification. Customer is responsible for selecting and classifying mail in accordance with the requirements of the applicable postal operator or carrier in the destination jurisdiction. Mail submitted through the Services must be designated under the correct service level or mail class as required by such operator or carrier.

4.2 Misclassification. Submission of mail under an incorrect service level or mail class may result in carrier-imposed penalties, surcharges, reclassification fees, delays, or rejection of the mailing. Customer is solely responsible for any such penalties, fees, or additional charges arising from misclassification or non-compliance.

4.3 Addressing Requirements. Customer must provide complete, accurate, and legally compliant address data in accordance with applicable postal or carrier requirements. While PostGrid may perform address validation or formatting checks prior to dispatch, Customer remains solely responsible for the accuracy, legality, and deliverability of the submitted address data.

4.4 Content Compliance & Acceptable Use. Customer must use the Services in compliance with all applicable laws and regulations in the jurisdictions in which mailings are prepared, transmitted, or delivered, the requirements of the applicable postal operator or carrier, and PostGrid’s Acceptable Use Policy (“AUP”).

Customer represents and warrants that mail content will not:

• contain unlawful, fraudulent, deceptive, defamatory, abusive, or harassing material;
• violate criminal, consumer protection, advertising, marketing, data protection, or privacy laws;
• constitute unlawful political communications or fail to include legally required disclosures or disclaimers;
• infringe intellectual property, privacy, publicity, or other third-party rights; or
• otherwise violate applicable postal operator or carrier standards, restrictions, or prohibited content rules.

PostGrid reserves the right to refuse, suspend, delay, or cancel any mailing that reasonably appears to violate applicable law, regulatory requirements, postal operator or carrier rules, or the AUP.

4.5 Regulated Industry Compliance. Customer is solely responsible for ensuring that its mailings comply with all industry-specific and regulatory requirements applicable to its business in the relevant jurisdiction, including without limitation:

• healthcare and health-information privacy laws;
• financial services, lending, insurance, or securities regulations;
• political campaign, election, or lobbying laws;
• controlled substance, pharmaceutical, or restricted-product advertising laws; and
• any other sector-specific disclosure, formatting, or content requirements.

PostGrid does not provide legal, regulatory, or industry compliance review of mail content. Customer remains solely responsible for determining whether a mailing satisfies all applicable legal and regulatory requirements.

4.6 Regulatory Assessments and Carrier Penalties. Customer is solely responsible for any fines, penalties, postage adjustments, retroactive reclassifications, surcharges, assessments, or other charges imposed by any postal operator, carrier, governmental authority, or regulatory body arising from Customer’s mail content, mail classification, regulatory non-compliance, inaccurate disclosures, prohibited materials, or violation of applicable law, postal or carrier requirements, or the AUP.

To the extent any such amounts are assessed against PostGrid as mailing agent, submitter of record, intermediary, or service provider due to Customer’s acts or omissions, Customer agrees to promptly reimburse PostGrid for the full amount of such charges, together with any reasonable and documented administrative costs incurred in responding to audits, investigations, enforcement proceedings, or carrier reviews relating to Customer’s mailings.

This Section allocates responsibility for regulatory and carrier-imposed assessments and operates independently of, and in addition to, the indemnification provisions set forth in the applicable Underlying Agreement.

5. Cancellation Rules

5.1 Cancellation Attempts. If a Customer requests cancellation of a submitted order, PostGrid will use commercially reasonable efforts to honor the request but cannot guarantee successful cancellation. Once an order progresses beyond the standard cancellation window (including where cancellation is no longer available through the dashboard), cancellation may not be possible.

5.2 Costs Still Owed. All production, material, postage, processing, and third-party costs incurred up to the time of the cancellation attempt remain payable by the Customer. In addition, where a cancellation request is made after the standard cancellation window has passed, PostGrid may charge a reasonable cancellation or processing fee.

5.3 Partial Cancellations. Partial cancellations are subject to the same terms. PostGrid will use commercially reasonable efforts to stop pieces that have not yet entered production or the mailstream, but cannot guarantee that all requested pieces will be halted.

6. Carrier-Driven Pricing Changes

6.1 Pass-Through Adjustments. PostGrid may adjust per-piece mailing fees with 15 calendar days’ written notice where increases are imposed by postal carriers or arise from circumstances outside PostGrid’s control.

7. Mailing-Specific SLAs

7.1 Print & Carrier Hand-Off Standard. Print and mail production timelines are governed by the applicable Service Level Agreement (“SLA”). Subject to the conditions and exclusions set out in the SLA, PostGrid processes orders and coordinates the printing and tendering of mailpieces through its authorized print and mailing partners to the applicable postal operator or carrier after receipt and acceptance of a valid order that satisfies all technical, formatting, validation, and funding requirements and is submitted prior to the applicable daily cutoff time.

7.2 Production SLA Exclusions. Production timelines described in the SLA may not apply where delays result from circumstances outside PostGrid’s reasonable control or from order conditions that require additional handling. These may include:

• postal operator or carrier handling, transportation, or delivery delays after tender;
• force majeure events;
• Customer-caused issues (including invalid or incomplete data, insufficient account funds, failed address validation, artwork or formatting errors, compliance holds, or misuse of the API);
• orders requiring custom materials or volumes below stated minimum thresholds; or
• unusually high-volume or pre-scheduled production runs requiring coordinated processing.

7.3 Postal Carrier Responsibility. Once mailpieces are tendered to the applicable postal operator or carrier, responsibility for transportation, routing, delivery, return handling, and related postal processing transfers to that postal operator or carrier. PostGrid is not responsible for postal or carrier delays, service disruptions, misdelivery, loss or damage in transit, returned mail, carrier-imposed surcharges, regulatory actions, or other acts or omissions of a postal operator or carrier.

7.4 Service Credits. Service credits apply only to the API availability commitments described in the SLA. Production timelines and postal transit performance do not qualify for service credits unless expressly stated in the SLA.

8. Customer Responsibilities

Customer is responsible for:

• Providing accurate, complete, and legally compliant address data.
• Ensuring that all PDFs, artwork, and print files submitted through the Services comply with PostGrid’s technical and formatting specifications.
• Maintaining a valid payment method that complies with the payment requirements set out in the Underlying Agreement, including any applicable thresholds for credit card, ACH, wire transfer, or other supported payment methods.
• Using the Services in compliance with applicable postal or carrier regulations, the AUP, and the Underlying Agreement.

9. Changes to These Product Terms

PostGrid may update or modify these P&M Terms from time to time to reflect changes in the Services, operational practices, postal or carrier requirements, or applicable law. Any updates will be posted on this page.

Unless otherwise stated, changes will become effective as of the “Last Updated” date. By continuing to access or use the Services after updated P&M Terms are posted, Customer agrees to be bound by the revised terms.

These P&M Terms supplement and form part of the agreement governing Customer’s use of the Services (including the applicable Underlying Agreement). In the event of any conflict between these P&M Terms and the Master Services Agreement or Terms of Service forming part of the Underlying Agreement, these P&M Terms will control solely with respect to the Print & Mail Services.
